Terms of Service

1. Agreement

These Terms of Service ("Terms") form a legal agreement between you ("you", "Customer") and Tri County AI Solutions LLC, an Illinois limited liability company ("TCAI", "we", "us", "our"), governing your purchase and use of our services.

By signing up for any of our services or using our website, you agree to these Terms. If you don't agree, don't use our services.

2. Eligibility

You must be:

• At least 18 years old
• Operating a legitimate business in the United States
• Authorized to enter into agreements on behalf of that business
• Located in the United States (we don't currently serve international clients)

3. Our Services

TCAI provides marketing services to local home-services contractors and small businesses, including:

• Custom websites and ongoing hosting
• Google Business Profile management
• Missed-call text-back automation
• Automated customer review request system
• Local digital advertising
• Bundled service packages (e.g., Starter Bundle)

Specific services delivered depend on the package you purchase. Service descriptions are available on our website at tricountyaisolutions.com.

4. Pricing and Billing

4.1 Subscription Services

Most of our services are sold as monthly subscriptions:

• Starter Bundle — $449/month (everything most contractors need)
• GBP Management — $149/month
• Missed-Call Text-Back — $79/month
• Review Request Engine — $79/month

4.2 One-Time Services

• Website Build — $799 one-time setup fee (separate from monthly hosting)

4.3 Payment Processing

Payments are processed by Stripe. We accept credit cards, debit cards, and ACH bank transfers. We may also accept cash, check, or other arrangements at our discretion for certain customers.

4.4 Auto-Renewal

Subscription services automatically renew each month at the then-current rate. We will not send a renewal reminder. Cancel before your renewal date to avoid the next month's charge.

4.5 Cancellation

You may cancel any subscription at any time by:

Your service continues through the end of your current billing month, then ends. We do not pro-rate refunds for partial months.

4.6 Refunds

We do not offer refunds for partial months of service. If you believe you've been charged in error, contact us within 14 days and we'll review. Refunds are at our discretion.

4.7 Failed Payments

If a payment fails, we'll notify you and retry within 7 days. If payment cannot be collected after 14 days, we may suspend or terminate your service until payment is resolved.

4.8 Price Changes

We may adjust pricing from time to time. Existing customers will receive at least 30 days' notice of any price increase. You may cancel before the new price takes effect.

5. Service Delivery

5.1 Onboarding

After payment, we'll contact you within 1-2 business days to begin onboarding. Most services are fully operational within 7-14 days of signup.

5.2 What We Need From You

To deliver service, you'll need to:

• Provide accurate business information (hours, services, contact details)
• Grant us manager-level access to your Google Business Profile (you don't share your password)
• Provide photos and content we can use for posts and your website
• Respond to our questions in a reasonable timeframe

5.3 Service Levels

We'll do our best to deliver service consistently. Specific deliverables depend on your package. Delays caused by you (slow approvals, missing content, etc.) may extend timelines.

6. Acceptable Use

You agree not to:

• Use our services for any illegal purpose
• Provide false information about your business
• Ask us to post fake reviews or misleading content on your behalf
• Send marketing messages to people who haven't consented (we comply with TCPA, CAN-SPAM, and similar laws)
• Resell or redistribute our services without our written permission

Violation may result in immediate service termination with no refund.

7. Your Content; Our Software

7.1 You Own Your Content

You retain ownership of all content you provide (photos, text, business info, customer lists, etc.). You grant us a non-exclusive license to use that content solely to deliver the services you've purchased.

7.2 We Own Our Software and Processes

The TCAI brand, our service workflows, our website templates, and our internal software remain our property. When your subscription ends, you keep your domain, website content, and customer data — but you don't get our backend tools or templates.

7.3 Website Ownership After Cancellation

If you cancel a Website Build + Hosting service:

• You keep your domain (you own it)
• You keep ownership of all content (text, photos)
• We can provide an export of your site, but you'll need to host and maintain it elsewhere
• We don't transfer the templates or themes we built (those are our IP)

8. No Guarantees

We deliver marketing services. We do not guarantee:

• Specific search rankings or traffic increases
• A specific number of leads, calls, or new customers
• Specific revenue results

Marketing depends on many factors outside our control — your service quality, pricing, location, market conditions, customer reviews you generate, etc. We commit to delivering the work; we cannot control the outcome.

9. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Third-party services we integrate with (Google, Stripe, Twilio, etc.) may experience downtime or change their policies. We're not liable for issues caused by those third parties.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 6 MONTHS PRECEDING THE CLAIM
• WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE WILL NOT BE LIABLE FOR LOST PROFITS, LOST CUSTOMERS, OR LOST GOODWILL

11. Indemnification

You agree to indemnify and hold harmless Tri County AI Solutions LLC, its owners, officers, and employees from any claims, damages, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Content you provide for us to use on your behalf
• Marketing messages we send to your customers based on lists you provide
• Your business operations or services

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law principles.

Any dispute will be resolved in the state or federal courts in McLean County, Illinois. You consent to personal jurisdiction in those courts.

Class Action Waiver: You agree to resolve any disputes individually, not as part of a class action.

13. Termination by Us

We may suspend or terminate your service at any time if you:

• Violate these Terms
• Fail to pay
• Engage in fraudulent or abusive behavior
• Use our services in a way that creates legal risk for us

If we terminate without cause, we'll refund any prepaid service period.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Continued use of the service after changes constitutes acceptance.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, are the entire agreement between you and us.
• Severability: If any provision is found unenforceable, the rest remains in effect.
• No Waiver: Our failure to enforce a right is not a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a sale or transfer of our business.
• Notices: Notices may be sent by email to the address on your account.
